4. Free Consultations
Where offered, our initial 30-minute consultation is provided free of charge and without obligation.
The purpose of the consultation is to understand your requirements and discuss whether North Point may be able to assist.
A free consultation does not create an ongoing client relationship or obligation for North Point to undertake work.
Any services discussed during the consultation will be subject to separate agreement before paid work begins.
5. Quotations and Pricing
Prices displayed on our website are indicative starting prices unless expressly stated otherwise.
The final cost of services may depend upon factors including:
The nature and complexity of the work;
The amount of documentation or information to be reviewed;
The estimated time required;
Whether work is remote or on-site;
Travel requirements;
Timescales and deadlines; and
Any additional requirements agreed with the client.
Where appropriate, North Point will provide a quotation or proposal before work begins.
Acceptance of a quotation may be subject to separate client terms or a service agreement.
6. On-Site Services
On-site support is subject to availability and geographical coverage.
Additional travel expenses, mileage, accommodation or travel time may be charged where applicable. Any such charges will be agreed before the assignment begins.
Clients are responsible for providing a reasonably safe and suitable working environment when North Point attends their premises.
7. Client Responsibilities
Clients are responsible for providing accurate, complete and timely information reasonably required for North Point to perform the agreed services.
North Point will not be responsible for delays, inaccuracies or other consequences resulting from incomplete, inaccurate, misleading or late information supplied by a client or third party.
Clients remain responsible for reviewing and approving documents, reports, policies, procedures and other materials where appropriate before implementation or external use.
8. Confidentiality
We understand that our work may involve access to confidential or commercially sensitive information.
North Point will take reasonable measures to protect confidential information provided by clients and will not intentionally disclose such information to third parties except:
Where necessary to provide an agreed service;
Where the client has authorised disclosure;
Where required by law; or
Where disclosure is reasonably necessary to protect legitimate legal rights.
More detailed confidentiality provisions may be included within individual client agreements.
9. Data Protection
Personal information is handled in accordance with our Privacy Policy and applicable UK data protection legislation.
Where North Point processes personal information on behalf of a client, additional data protection provisions or a Data Processing Agreement may be required.
Clients are responsible for ensuring that they have an appropriate lawful basis for providing personal information to North Point for processing.
10. Intellectual Property
Unless otherwise agreed in writing, North Point retains ownership of its pre-existing materials, methodologies, templates, systems and other intellectual property.
Where bespoke documents or reports are created specifically for a client, the client's rights to use those materials will be set out in the relevant quotation, proposal or service agreement.
Content published on the North Point website, including text, branding, graphics and original materials, must not be reproduced, distributed or commercially exploited without permission.
11. Third-Party Services
Our website or services may involve or provide links to third-party platforms, software, websites or service providers.
North Point is not responsible for the availability, content, security, performance or practices of independent third-party services.
Use of third-party services may also be subject to their own terms and privacy policies.
12. Service Availability
We aim to provide services professionally and within agreed timescales.
However, availability may be affected by circumstances outside our reasonable control.
Any specific deadlines or delivery dates should be agreed in writing before work begins.

Subject to applicable law and any separate written client agreement, North Point will not be responsible for indirect or consequential losses arising from the use of our website or services.
North Point does not guarantee that the use of our services will prevent every compliance issue, regulatory breach, business loss or other adverse outcome.
Where paid services are provided, additional provisions concerning liability may be included within the relevant client service agreement.
14. Cancellations and Rescheduling
Cancellation and rescheduling arrangements for paid services, projects and on-site assignments will be confirmed as part of the relevant quotation or client agreement.
We ask clients to provide as much notice as reasonably possible if an appointment or on-site assignment needs to be changed.
North Point reserves the right to charge for late cancellations where time has been specifically reserved for a client, subject to the terms agreed before booking.
15. Payment
Payment terms for paid services will be stated on the relevant quotation, proposal, invoice or client agreement.
Invoices must be paid within the agreed payment period.
North Point reserves the right to pause or suspend services where invoices become overdue, subject to any applicable contractual terms.
16. Ending Services
Either party may end an ongoing service arrangement in accordance with the termination provisions contained in the applicable quotation or client agreement.
North Point reserves the right to decline or discontinue work where continuing would be unlawful, inappropriate, unsafe, outside our competence or contrary to professional standards.
17. Changes to These Terms
We may update these Terms of Service from time to time to reflect changes to our business, services or legal requirements.

18. Governing Law
These Terms are governed by the laws of England and Wales.
